Conducting negotiations with the vendor
Anvil Partners handles most of the negotiations with the vendor, providing a buffer for the management team. We draw up an offer letter at each stage of the bidding process setting out the offer, associated conditions and the assumptions we have made in forming a view on the price to be paid.
Advising on negotiations with the vendor
We advise management on tactics, the price to be offered and the other terms of the proposed purchase.
Preparing business plans and financial models and testing for sensitivities
We assist management to compile the business plan and financial model. We know what the financiers require and can help management to present their business plans in the best light.
Structuring the finance
When the financial model has been prepared we can form a view on the most appropriate financial structure for the proposed transaction. The structure takes into account the purchase price to be paid and the need for additional capital to fund capital expenditure, restructuring costs and working capital requirements.
Approaching financiers
Anvil keeps in contact with most of the providers of financial backing, both equity and debt, in the market and has a good idea of the types of transaction they prefer. We normally contact a number of potential backers and help management to choose the most appropriate funders.
Negotiating terms
Financiers make their offers of finance in the form of term sheets. We advise management on the reasonableness of those terms and help to negotiate the best terms available.
Due diligence
We liaise with due diligence professionals and advise on their reports.
Organising and managing the acquisition and financing processes
As the transaction progresses a lot of people get involved, particularly external advisers when the due diligence work gets going. There are usually some tight time pressures at this stage as the exclusivity period is running. We organise and co-ordinate the work of all those invoved to ensure a timely completion.
